This agreement supersedes all prior or contemporaneous communications, negotiations, and agreements, whether written or oral, between the parties regarding the subject matter hereof.

14.4 Assignment

Neither party may assign or transfer its rights or obligations under these Terms and Conditions without the prior written consent of the other party, except that Iteksurvey may assign or transfer its rights and obligations to a successor entity in connection with a merger, acquisition, or sale of all or substantially all of its assets.

14.5 Relationship of the Parties

The parties are independent contractors, and nothing in these Terms and Conditions will be construed to create a joint venture, partnership, employment, or agency relationship between the parties. Neither party has the authority to act on behalf of or bind the other party in any way.
